Terms of Service

Effective date: June 1, 2026  ·  Applies to all users of chainverity.ai and the Chain Verity platform

Important notice: These Terms of Service govern your use of the Chain Verity website and platform. By accessing or using our services you agree to be bound by these terms. If you do not agree, do not use our services.

1. Who We Are

Chain Verity is a supply chain risk intelligence platform operated by EJ Technologies LLC, a Delaware limited liability company with its registered office at 651 N Broad St, Suite 201, Middletown, Delaware 19709, USA. References to "Chain Verity," "we," "us," or "our" throughout these Terms mean EJ Technologies LLC.

2. Acceptance of Terms

By visiting chainverity.ai, submitting a Design Partner application, accessing demo materials, or using any part of the Chain Verity platform, you confirm that you have read, understood, and agree to these Terms of Service and our Privacy & Cookie Policy.

If you are accessing the platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Description of Service

Chain Verity provides a real-time supply chain risk intelligence platform that aggregates financial exposure data, sub-tier supplier intelligence, and disruption signals to help enterprise procurement teams monitor, quantify, and respond to supplier risk.

The platform is currently in a pre-commercial, invitation-only phase. Access is granted exclusively to approved Design Partners and is subject to a separate Design Partner Agreement. Nothing on this website constitutes an offer to sell or a binding commitment to provide platform access.

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice, during the pre-commercial phase.

4. Eligibility and Access

To access the platform you must:

  • Be at least 18 years of age
  • Have authority to enter into a binding agreement on behalf of your organization
  • Have received an invitation or approval from Chain Verity
  • Comply with all applicable laws and regulations in your jurisdiction

We may revoke access at any time if we reasonably believe you have violated these Terms or any applicable law.

5. Acceptable Use

You agree to use Chain Verity only for lawful purposes and in a manner consistent with these Terms. You must not:

  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the platform
  • Scrape, harvest, or systematically extract data from the platform or website without our written consent
  • Use the platform to compete with Chain Verity or to build a competing product
  • Share your login credentials or access with unauthorized third parties
  • Upload or transmit any malicious code, virus, or disruptive software
  • Attempt to gain unauthorized access to any part of our systems or infrastructure
  • Use the platform in any way that could damage, disable, overburden, or impair our systems
  • Misrepresent your identity or affiliation when applying for access

6. Intellectual Property

Our IP. All content on the Chain Verity website and platform — including but not limited to software, algorithms, risk models, scoring methodologies, data compilations, UI/UX designs, graphics, text, and trademarks — is the exclusive property of EJ Technologies LLC or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in our intellectual property.

Your Data. You retain ownership of any data, documents, or information you upload to the platform ("Customer Data"). By submitting Customer Data you grant us a limited, non-exclusive license to process that data solely to provide the service to you. We will not sell or share your Customer Data with third parties except as required to operate the platform or as required by law.

Feedback. If you provide us with feedback, suggestions, or ideas about the platform ("Feedback"), you grant us an irrevocable, royalty-free, worldwide license to use that Feedback for any purpose without obligation to you. As a Design Partner, your Feedback may directly influence the product roadmap.

7. Confidentiality

During the Design Partner phase, you may receive access to non-public information about the Chain Verity platform, roadmap, pricing, or business ("Confidential Information"). You agree to:

  • Keep Confidential Information strictly confidential
  • Use it only to evaluate or use the platform as a Design Partner
  • Not disclose it to any third party without our prior written consent
  • Apply at least the same degree of care you apply to your own confidential information (and no less than reasonable care)

This obligation does not apply to information that is publicly available, was already known to you, or is required to be disclosed by law.

Investor materials shared under NDA are governed by the terms of that separate NDA, which takes precedence over this section.

8. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy & Cookie Policy, which is incorporated into these Terms by reference. By using our services you consent to our data practices as described in that policy.

9. Disclaimers

No warranties. The Chain Verity platform and website are provided "as is" and "as available" without any warranty of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Not financial or legal advice. Chain Verity provides risk intelligence data to assist procurement professionals in making informed decisions. Nothing on the platform constitutes financial, legal, compliance, or investment advice. You are solely responsible for decisions made based on platform data.

Data accuracy. While we strive to provide accurate and timely data, we do not warrant that information on the platform is complete, accurate, or up to date. Third-party data sources may contain errors. You should independently verify any risk assessment before taking action.

Service availability. We do not guarantee uninterrupted or error-free access to the platform, particularly during the pre-commercial phase.

10. Limitation of Liability

To the maximum extent permitted by applicable law, EJ Technologies LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or business interruption, arising out of or related to your use of the platform or these Terms, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under or related to these Terms shall not exceed the greater of (a) the total fees paid by you to Chain Verity in the twelve months preceding the claim, or (b) one hundred US dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless EJ Technologies LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your violation of these Terms; (b) your use of the platform; (c) your infringement of any third-party rights; or (d) any Customer Data you submit to the platform.

12. Third-Party Links and Services

The Chain Verity website may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of those third-party sites. Accessing them is at your own risk.

13. Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will update the effective date at the top of this page. For material changes, we will provide notice via the platform or by email where we hold your contact details. Your continued use of the service after any change constitutes acceptance of the revised Terms.

14. Termination

Either party may terminate access to the platform at any time. We may suspend or terminate your access immediately without notice if we reasonably believe you have violated these Terms. Upon termination, all licenses granted under these Terms cease immediately. Sections 6, 7, 9, 10, 11, and 15 survive termination.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

If you are located in the European Union or United Kingdom, nothing in these Terms affects your statutory consumer rights under applicable local law.

16. General

  • Entire agreement. These Terms, together with our Privacy & Cookie Policy and any Design Partner Agreement or NDA, constitute the entire agreement between you and Chain Verity regarding your use of the service.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • No waiver. Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment. You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.
